OurTown User Agreement
Participation in The Island Packet's Our Town service is subject to the following terms and conditions:
1. Upon approval of this agreement, you will be allowed into the "Online Editor" program, which enables you to post and update information on your group's web page. To keep this page secure, do not tell anyone your password except for persons who will be adding or deleting information for your group's page.
2. The Island Packet has the right to edit all content posted on Our Town and can edit at its sole discretion at any time.
3. Our Town is free.
4. You agree that you shall have no ownership interest in the Service, including its content and the software used in operating the Service.
5. You understand and acknowledge that services in Our Town may be terminated at any time by The Island Packet, with or without notice. In addition, The Island Packet may terminate your right to participate in Our Town, if The Island Packet determines that content being provided by you is inappropriate or inadequate for use, or that you otherwise do not qualify for participation.
6. You understand and agree that all content provided by you for Our Town becomes property of The Island Packet at the time that the content is posted by you. The Island Packet has all rights of ownership to the content, including all copyrights, for all purposes.
7. By clicking acceptance of this agreement, you agree to assign to The Island Packet, irrevocably and perpetually, the copyright in the content provided by you to Our Town. By clicking acceptance, you represent that the use of the content you provide to Our Town, and the assignment of all rights in the content to The Island Packet, shall not violate any law or infringe upon the copyrights, trademarks, trade names, patents or proprietary or other rights of any other person, firm or corporation and that such content contains no matter which is libelous, an invasion of privacy, an unlawful appropriation of the name or likeness or is otherwise injurious to the rights of any other person, firm or corporation.
8. You agree to indemnify and hold The Island Packet harmless against any claims, demands, causes of action, judgments, costs or expenses arising out of or related to any suit, claim or proceeding by any third party based upon (1) your breach of any representation or agreement under this agreement, (2) an allegation that the use of the content on Our Town or its assignment to The Island Packet infringes a copyright or other right of any third party, or (3) an allegation that The Island Packet caused harm to any person or organization based upon the information contained in Our Town, or failed to provide the services contemplated by this agreement. We reserve the right to defend any such claim, and you agree to provide us with such reasonable cooperation and information as we may request.
9. You additionally agree to indemnify and hold Waveshift Technologies, Inc. (the entity that owns the software for and is host of Our Town) harmless against any claims, demands, causes of action, judgments, costs or expenses arising out of or related to any suit, claim or proceeding by any third party alleging that Waveshift caused harm to any person or organization based upon the information contained in Our Town's content, or based upon any failure of Waveshift to meet it obligations under its Web Hosting Agreement with The Island Packet. Waveshift is a third party beneficiary of this agreement for purposes of this section.
10. Our Town is provided on an "as is" basis. You agree that participation is at your sole risk. WE MAKE NO WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES REGARDING THE ACCURACY, AVAILABILITY, RELIABILITY, SECURITY OR COMPLETENESS OF THE CONTENT OR ANY OTHER SERVICE OR PRODUCT ON OR RELATED TO THE SERVICE (INCLUDING ANY OUTSIDE RESOURCE TO WHICH THE SERVICE MAY LINK).
11. You hereby represent that your principal place of business is located in Beaufort County, South Carolina.
